Terms of Service

Last updated: October 30, 2026

Please read these Terms carefully. Section 19 requires most disputes to be resolved by binding individual arbitration, waives class actions and jury trials, and explains how to opt out within 30 days.

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are an agreement between you and Carbium Corporation, a Wyoming corporation ("Carbium", "we", "us"). They govern your use of every website, application, interface, API, RPC endpoint, data stream, program, software and service that Carbium offers and that links to or refers to these Terms, now or in the future (together, the "Services"). The Services include:

  • the websites at carbium.io, carbium.sh and their subdomains, including our documentation and blog;
  • Carbium Swap at dex.carbium.io, including its swap, Bridge and Gasless features (the "Interface");
  • Carbium accounts on the Interface and on our developer dashboards (an "Account");
  • the Carbium Swap API, quote and transaction-building endpoints, RPC and streaming endpoints, SDKs, tools and documentation (the "Developer Services").

The Privacy Policy explains how we handle personal data. The Risk Disclosures are part of these Terms. Some Services come with additional terms, a plan page or an order form ("Additional Terms"). Additional Terms are part of these Terms and control for their Service where the two conflict, except that Section 19 always governs disputes. A written agreement signed by both you and Carbium controls over these Terms where the two conflict.

You accept these Terms by ticking the box that says so, or by using the Services. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other organisation, you accept these Terms for it and confirm that you can bind it, and "you" includes it.

2. Eligibility and restricted use

You may use the Services only if all of the following are true:

  • you are at least 18 years old and able to form a binding contract;
  • you are not a Restricted Person, and you are not owned or controlled by, or acting for, a Restricted Person;
  • you are not located, organised or ordinarily resident in a Restricted Territory;
  • your use of the Services does not break any law that applies to you.

A "Restricted Person" is anyone named on a sanctions or export-restriction list kept by the United States (including the Specially Designated Nationals and Blocked Persons List of the U.S. Treasury's Office of Foreign Assets Control), the United Nations, the European Union, the United Kingdom or Switzerland, and anyone 50% or more owned by such persons. A "Restricted Territory" is Cuba, Iran, North Korea, Syria, the Crimea, Donetsk and Luhansk regions of Ukraine, and any other country or region subject to comprehensive U.S. sanctions.

You must not use a VPN, proxy or other means to hide your location or to get around these limits. We may block access from any country, region, IP address or wallet address, use screening tools to do so, refuse any request or transaction, and make any Service unavailable in more places at any time. Our staff will never help anyone get around these limits.

3. Wallets and custody

3.1 Your own wallet. The Interface works with wallets you control, such as browser-extension and mobile wallets ("your Wallet"). Carbium never holds, stores or sees the private keys of your Wallet and cannot access, move, freeze or recover the assets in it. You review and sign every transaction from your Wallet yourself; the Interface and the Developer Services only show information and prepare transactions for you. You are responsible for the security of your Wallet and its recovery phrase and for every transaction signed with your keys. Your Wallet is provided by a third party under its own terms.

3.2 Gasless. When Gasless applies, a Carbium fee payer pays the network fee and any temporary account rent for your transaction, and the same transaction repays that amount. The fee payer never holds or controls your assets, and you still sign the transaction in your own Wallet.

4. What the Services do and do not do

Software, not a counterparty. The Interface and the Swap API find routes through liquidity sources run by third parties on public blockchains, show estimated results, and prepare transactions for you to review and sign. Carbium does not buy assets from you or sell assets to you, is not a party to your trades, does not match orders and does not act as your broker, agent, adviser or fiduciary.

Not registered. Carbium is not registered with or regulated by the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission or any other financial regulator as a broker, dealer, exchange, investment adviser or similar intermediary.

No advice and no endorsement. Quotes, prices, routes, token lists, charts, statistics and other information on the Services are for information only. They are not investment, financial, legal, tax or other advice, or a recommendation or offer to buy, sell or hold any asset. Tokens, pools and liquidity venues reachable through the Services are created and run by third parties. Some tokens may be securities or other regulated instruments. Showing a token, pool or venue is not an endorsement, and we may add, remove, hide, label or block any token, pool, venue, route or feature at any time.

Quotes and execution. A quote is an estimate and can change before your transaction lands. We do not guarantee any price, route, output amount or successful transaction, and we do not guarantee that any route is the best available. Your slippage setting is the worst result you accept.

Your trading information and conflicts. Carbium receives your quote requests and the transactions it prepares for you before they reach a blockchain. We do not use them to trade ahead of you, and access to them is limited to people who need it to run the Services. Carbium, its affiliates and the people who run them may hold or trade digital assets, including tokens available through the Services and on venues the Services route through.

Changes and availability. We may change, suspend or stop any Service or feature at any time, including to protect users, to comply with law or to maintain our systems, and we may serve requests from different internal systems, including backup systems.

5. Fees

Router fee. Swaps built through the Carbium router program pay a router fee of 0.05% (5 basis points) of the input amount, in the input token, collected on-chain as part of the swap. This applies to swaps on the Interface and to swaps built through the Swap API, whatever plan you are on. Some routes, marked in the Interface, carry no router fee. When a swap is the first to pay the router fee in a given token, the same transaction opens Carbium's fee account for that token, and you pay its one-time rent (about 0.002 SOL).

Network fees and rent. Every transaction pays network fees to the blockchain, including a priority fee set in the transaction, and may pay rent to open token accounts. The network sets these, not Carbium. Your wallet usually shows them before you sign.

Gasless. The amount repaid in a Gasless transaction equals the network fee and rent the fee payer advanced, with no markup.

Bridge. Bridge orders pay the fees set by deBridge and its market makers, which are included in the bridge quote. Carbium does not currently add a fee to bridge orders.

Integrator fees. Developers using the Swap API may add their own fee to the transactions they build, on top of the router fee. If you add one, you must clearly disclose it to your users.

Developer plans. Paid plans cost what the plan page or order form states at the time you buy.

Changes and taxes. We may change our fees by updating the Interface, the plan pages or our documentation. A change applies to transactions and billing periods after it takes effect. Fees collected on-chain are final. You are responsible for all taxes on your use of the Services and on your transactions.

6. Accounts

You can create an Account on the Interface by signing a message with a wallet, or by signing in with an email code, Google or X; our developer dashboards also accept Discord and, for the RPC, a wallet signature or email. You must give accurate information, keep your sign-in methods secure and tell us promptly at [email protected] about any unauthorised use. Anyone who controls one of your sign-in methods can act through your Account, and you are responsible for that activity. You can ask us to close your Account at [email protected]. We may refuse, suspend or close any Account at any time, including for a breach of these Terms or to comply with law.

7. Developer Services

7.1 Licence. While you comply with these Terms, Carbium grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to use the Developer Services, as described in our documentation and your plan, to build and run your own applications ("Your Applications").

7.2 Keys and access. Keep your API keys and credentials secret. You are responsible for all use under your keys and must tell us promptly if a key is exposed. We may revoke, rotate or limit any key, restrict any method, endpoint or IP address, and remove keys beyond what your plan allows.

7.3 Limits. Rate limits, credits, quotas and supported methods are set by your plan and our documentation, and we may change them. Do not exceed them or try to get around them, including by using several accounts or keys. Unused credits expire as the plan states. Free plans and endpoints that need no key may be limited, changed or withdrawn at any time.

7.4 Your Applications and your users. You alone are responsible for Your Applications, your users and your compliance with the laws that apply to you and them, including licensing, consumer protection, data protection, sanctions and anti-money-laundering laws. You must not use the Developer Services to serve Restricted Persons or anyone in a Restricted Territory. You must disclose any fees you add, must not state or imply that Carbium operates, sponsors or endorses Your Applications, and must give your users terms that are at least as protective of Carbium as Sections 4, 11 and 13. Carbium owes no duty to your users.

7.5 Transactions you build. Transactions built by the Developer Services are unsigned proposals. You and your users decide whether to sign and send them, and should review or simulate them first.

7.6 Data. Quotes, prices, routes and blockchain data from the Developer Services can be delayed, incomplete or wrong. Do not use them as the only price source for settling, valuing or liquidating loans, derivatives or other financial positions. Do not resell or redistribute raw data from the Developer Services as a standalone product without our written consent.

7.7 Restrictions. You must not: resell, sublicense or give others direct access to the Developer Services except as part of Your Applications; reverse engineer, decompile or try to extract the source code of the Services, except where the law allows this despite this restriction; probe, scan, load-test or test the security of the Services without our written consent; interfere with or disrupt the Services or other users; or use the Developer Services for any unlawful purpose.

7.8 Payment. Fees are payable in advance as your plan states, by the payment methods we accept, which may include digital-asset payments and payments through third-party processors such as MoonPay Commerce (formerly Helio) and Stripe, under their own terms. A plan that is not renewed ends at the end of its period, and its extra keys and limits end with it. Unless your plan states otherwise or the law requires it, fees are non-refundable and partial periods are not credited; any refund is at our discretion. Payments in digital assets are final once confirmed.

7.9 No service levels. The Developer Services come with no uptime, latency, landing-rate, throughput or support commitment unless a written agreement signed by Carbium states one. Uptime, latency, landing-rate and other performance figures on our websites describe past measurements or targets and are not promises.

7.10 Changes to the Developer Services. We may change, deprecate or remove endpoints and features. Where practical we will give paying customers notice of breaking changes.

7.11 Attribution. You may say that Your Application uses Carbium. Any other use of our names and logos needs our prior written approval.

8. Third-party services

The Services connect to services that Carbium does not run, including wallets, blockchains and their validators, liquidity venues and protocols, deBridge, sign-in providers such as Google, X and Discord, payment processors, and data and infrastructure providers. Their own terms and privacy policies govern your use of them. Carbium does not control or endorse them and is not responsible for them or for any loss they cause.

The Bridge feature is provided through deBridge. Your bridge orders are subject to deBridge's terms, deBridge may route part of an order through other protocols, and deBridge's terms restrict use by persons in the United States and certain other places. By using the Bridge you confirm that deBridge's terms allow you to use it.

9. Prohibited conduct

You must not use the Services to:

  • break any law, or help anyone else break one, including laws on sanctions, export controls, money laundering, terrorist financing, fraud, securities, commodities and consumer protection;
  • deal with a Restricted Person or a Restricted Territory;
  • manipulate any market, including by wash trading, spoofing or pump-and-dump schemes;
  • handle the proceeds of crime or assets taken in a hack, exploit or theft;
  • infringe anyone's intellectual property, privacy or other rights;
  • send malware, attack, overload or disrupt the Services or any network, or get around any security or access control;
  • exploit any bug, error or unintended behaviour of the Services or of the Carbium router program (report it to us instead at [email protected]);
  • impersonate anyone or misrepresent your connection with anyone, including Carbium;
  • access the Interface by automated means, other than through the Developer Services as documented;
  • post unlawful, abusive or infringing content, or harass, threaten or defraud anyone.

10. Intellectual property and content

The Services and their software, designs, text, graphics and data, and the Carbium name, logo and other marks, belong to Carbium or its licensors. The Carbium logo is a registered trademark of Carbium in the United States (Reg. No. 8,251,503), and Carbium is a trademark of Carbium. These Terms give you no right to use them beyond using the Services as intended. Token names, logos and other marks shown through the Services belong to their owners and appear only to identify their assets; no affiliation or endorsement is implied. Open-source software and other licensed material in the Services remain under their own licences, which control for that material. The Interface uses Font Awesome Free icons by Fonticons, Inc. (Creative Commons Attribution 4.0); Material Design, Remix and Grommet icons (Apache License 2.0); Circum icons (Mozilla Public License 2.0); Bootstrap, Feather, Ionicons, Phosphor, Radix and Tabler icons (MIT License); and the Space Grotesk typeface (SIL Open Font License 1.1).

You keep your rights in content you submit, such as a profile name or picture, a blog comment or a form message, and give Carbium a worldwide, royalty-free licence to use it to run and improve the Services. We may remove any content. If you send us feedback or ideas, we may use them freely and without any obligation to you. To report content that you believe infringes your rights, write to [email protected] with enough detail for us to find and assess it.

11. Risks

You accept the risks described in the Risk Disclosures and the other risks of digital assets and blockchains. You alone decide whether to use the Services and whether to enter into any transaction, and you are responsible for those decisions.

12. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, CARBIUM DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. CARBIUM DOES NOT WARRANT THAT THE SERVICES, ANY QUOTE OR DATA, OR ANY BLOCKCHAIN OR THIRD-PARTY SERVICE WILL BE ACCURATE, COMPLETE, SECURE, AVAILABLE, TIMELY OR FREE OF ERRORS OR HARMFUL COMPONENTS, OR THAT ANY TRANSACTION WILL BE CARRIED OUT.

13. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • CARBIUM AND ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS (THE "CARBIUM PARTIES") ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS OR THEIR VALUE, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF TOLD THAT SUCH DAMAGES WERE POSSIBLE;
  • THE CARBIUM PARTIES ARE NOT LIABLE FOR LOSS CAUSED BY YOUR WALLET OR DEVICE, YOUR SIGN-IN METHODS, YOUR TRANSACTIONS OR MISTAKES, ANY BLOCKCHAIN, VALIDATOR, NETWORK OR PROTOCOL, ANY TOKEN OR ITS ISSUER, ANY THIRD-PARTY SERVICE, PRICE MOVEMENTS, HACKS, EXPLOITS OR ATTACKS BY THIRD PARTIES, OR EVENTS BEYOND CARBIUM'S REASONABLE CONTROL;
  • THE TOTAL LIABILITY OF THE CARBIUM PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO CARBIUM IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM AND (B) 100 U.S. DOLLARS.

THESE LIMITS APPLY TO EVERY THEORY OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE) AND STRICT LIABILITY. THEY DO NOT LIMIT LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT THE LAW DOES NOT ALLOW TO BE LIMITED. SOME JURISDICTIONS DO NOT ALLOW SOME OF THESE LIMITS, SO SOME MAY NOT APPLY TO YOU.

14. Indemnity

You will defend, indemnify and hold harmless the Carbium Parties from every claim, demand, loss, liability, cost and expense (including reasonable attorneys' fees) arising from or relating to your breach of these Terms or of any law, your misuse of the Services, Your Applications and their users, or your violation of anyone's rights. We may take control of the defence of any such claim at your expense, and you will cooperate with us.

15. Release

To the fullest extent the law allows, you release the Carbium Parties from all claims and losses arising from disputes between you and other users or third parties, including token issuers, liquidity venues, bridges and wallet providers. If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law of any other place.

16. Suspension and termination

We may suspend, limit or end your access to any Service, block any wallet address, or refuse any request or transaction, at any time and without notice, including if we believe you have broken these Terms, to comply with law or a request from an authority, or to protect the Services, our users or others. You may stop using the Services at any time. Sections 3 to 5, 7.4 to 7.9 and 10 to 22 continue to apply after your use ends.

17. Promotions and programs

Any promotion, discount, credit, referral, partner or builder program is governed by its own written terms or, where there are none, by these Terms. We may change or end any of them at any time unless a written agreement signed by Carbium says otherwise.

18. Statements outside these Terms

Statements by Carbium staff, moderators or community members in chats, social media, Discord, Telegram, email or elsewhere are not part of these Terms, do not change them, and are not legal, tax or compliance advice. Performance figures, comparisons and other statements in our marketing, documentation or blog describe our Services or measurements at a point in time and are not promises or warranties. Do not rely on any of them in deciding whether you may use the Services or a feature.

19. Disputes: arbitration and class action waiver

19.1 Informal resolution first. Before starting an arbitration or a court case, you and Carbium will try to resolve the dispute informally for 60 days after one side sends the other a written notice that describes the claim and the relief sought. Send your notice to [email protected]. We will send ours to an email address you gave us, or by any other reasonable means.

19.2 Binding individual arbitration. Except as Section 19.5 provides, any dispute, claim or controversy between you and Carbium arising from or relating to these Terms, the Privacy Policy, the Risk Disclosures, any Additional Terms or the Services (a "Dispute") will be resolved by final and binding arbitration before a single arbitrator, and not in court. The Federal Arbitration Act governs this Section 19. The arbitration is administered by JAMS under its Comprehensive Arbitration Rules and Procedures or, where they apply, its Streamlined Arbitration Rules and Procedures, and, if you are an individual using the Services for personal purposes, the JAMS Consumer Minimum Standards, as modified by this Section. The arbitrator decides every question about the formation, scope, validity, enforceability or arbitrability of this Section, except that a court decides questions about Sections 19.3, 19.7 and 19.8. Hearings take place by video or telephone unless the arbitrator decides an in-person hearing is needed, in which case it takes place in Laramie County, Wyoming or, if you are an individual, in the county where you live if you prefer. The arbitrator may award the same individual relief a court could, and judgment on the award may be entered in any court with jurisdiction. Fees are paid as the JAMS rules provide.

19.3 Class action and jury trial waiver. You and Carbium may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of different people and may award relief only to the individual party and only as far as needed for that party's own claim. YOU AND CARBIUM EACH WAIVE THE RIGHT TO A JURY TRIAL.

19.4 Opting out. You may opt out of this Section 19 by emailing [email protected] within 30 days after you first accept these Terms, with your name, the wallet addresses or Account email you use with the Services, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

19.5 Exceptions. Either side may bring an individual claim in a small claims court that has jurisdiction. Either side may ask a court for an injunction or other equitable relief to protect its intellectual property or to stop unauthorised access to or abuse of the Services. A claim for public injunctive relief, to the extent the law does not allow it to be arbitrated or waived, will be decided by a court after the individual claims are arbitrated.

19.6 Time limit. To the extent the law allows, any claim must be started within one year after it arises, or it is permanently barred.

19.7 Mass filings. If 25 or more demands raising similar claims are filed against Carbium by or with the help of the same or coordinated counsel or organisations, the JAMS Mass Arbitration Procedures and Guidelines apply to them.

19.8 If part of this Section fails. If a court decides that the class action waiver in Section 19.3 cannot be enforced for a claim, that claim (and only that claim) will be decided in court and not in arbitration. If any other part of this Section 19 cannot be enforced, the rest still applies.

19.9 Changes to this Section. A change to this Section 19 applies only to Disputes that arise after the change, and never to a Dispute that either side notified the other about before the change was posted.

20. Governing law and courts

These Terms and every Dispute are governed by the laws of the State of Wyoming and applicable U.S. federal law, without regard to conflict-of-law rules. Any Dispute that is not arbitrated will be decided only by the state or federal courts located in Laramie County, Wyoming, and you and Carbium consent to their jurisdiction and venue. If you are a consumer living in the European Economic Area, the United Kingdom or Switzerland, nothing in these Terms removes the protection of the mandatory laws of your country of residence.

21. Changes to these Terms

We may change these Terms. We will post the new version here with a new "Last updated" date. A change applies only from the date it is posted, and never to a claim that arose before that date. For a material change we will ask you to accept the new Terms before you continue to use the Interface or your Account, and we will tell paying customers by email. If you do not agree to a change, stop using the Services.

22. General

  • Entire agreement and precedence. These Terms, with the Privacy Policy, the Risk Disclosures and any Additional Terms, are the whole agreement between you and Carbium about the Services and replace any earlier understanding. Where they conflict, the order of precedence is: a written agreement signed by both of us, then Additional Terms for their Service, then these Terms. Section 19 governs disputes under all of them.
  • Assignment. You may not transfer these Terms or your rights under them without our written consent. We may transfer them, including as part of a merger, acquisition or sale of assets.
  • Severability. If any part of these Terms cannot be enforced, the rest stays in force, and that part is enforced as far as the law allows.
  • No waiver. Not enforcing a right is not a waiver of that right.
  • Force majeure. Carbium is not liable for any delay or failure caused by events beyond its reasonable control, including blockchain or network failures, forks, congestion or attacks, failures of third-party services, changes in law, government action, war, unrest, epidemics, natural disasters, and power or internet outages.
  • No third-party beneficiaries. Only you and Carbium have rights under these Terms, except that the Carbium Parties may rely on Sections 13 to 15.
  • Relationship. These Terms do not create any partnership, joint venture, agency, employment or fiduciary relationship.
  • Notices and electronic communications. We may give you notice through the Services or to any email address you gave us. You agree that agreements, notices and other communications we provide electronically satisfy any requirement that they be in writing. Send notices to Carbium at [email protected] or by mail to the address below.
  • Export controls. You will comply with U.S. and other export control and sanctions laws that apply to your use of the Services and their software.
  • Language and interpretation. These Terms are written in English, and any translation is for convenience only. Headings do not affect meaning, and "including" means "including without limitation".
